Terms of Service

1. Who we are and what these Terms cover

Genera Stock ("Genera Stock", "we", "us") is an online marketplace operated by Genera Technologies, Inc. where every visual asset is generated with artificial intelligence. These Terms of Service (the "Terms") govern your access to and use of generastock.com, including browsing, purchasing licenses, subscribing to plans, and contributing content. By creating an account, subscribing, downloading, or uploading, you agree to these Terms. If you do not agree, do not use the service.

2. Nature of the content: 100% AI-generated

All images on Genera Stock are generated by artificial intelligence tools. They do not depict real events, real places as photographed, or real identifiable persons, even where a likeness appears realistic. Any resemblance of an AI-generated image to an actual person, product, brand, artwork, or place is coincidental and unintended. Images are provided for lawful creative and commercial use as licensed below, and are labeled as AI-generated content. Where the law of your jurisdiction requires disclosure that content is AI-generated, you are responsible for providing that disclosure in your end use.

3. Accounts

You must provide accurate information, be at least 18 years old (or the age of majority in your jurisdiction), and keep your credentials confidential. You are responsible for activity under your account. We may suspend or terminate accounts that violate these Terms, attempt to abuse promotional mechanics, or present fraud or security risks.

4. Licenses to customers

When you download an image under an active paid plan, Genera Stock grants you a non-exclusive, worldwide, perpetual, non-transferable license to use, reproduce, modify, and display that image in your own projects, both commercial and non-commercial, including advertising, websites, apps, social media, presentations, and print. The Mega plan additionally carries our extended license, covering merchandise for resale and templates, subject to the restrictions below.

You may not, under any plan: (a) resell, redistribute, or make an image available as a standalone file or as part of a stock library, dataset, or AI-training corpus; (b) register an image or any part of it as a trademark, design mark, or logo; (c) use an image in a way that suggests a real person endorses a product or that depicts a seemingly real person in a defamatory, pornographic, or unlawful context; (d) use images in connection with unlawful, deceptive, or hateful content; (e) claim authorship of an unmodified image; or (f) remove or falsify content provenance or AI-labeling metadata.

AI generation and AI editing tools. Genera Stock offers optional tools that let eligible customers generate new images, and create edited previews of library images, using artificial intelligence. These tools run on an API key that the customer provides and owns (currently Google Gemini): the key is stored encrypted, is used solely to perform the operations the customer requests, and can be removed by the customer at any time. The customer is responsible for complying with the API provider's terms and for any charges the provider bills for that key. The tools are available on the Pro and Mega plans: the Pro plan is subject to a daily generation limit that Genera Stock may adjust, and the Mega plan has no daily generation cap. Generations are counted per output image, including edited previews. Generation costs are borne by the customer directly with the API provider: the customer purchases the credits and configures their own API key. As between the customer and Genera Stock, Genera Stock claims no ownership over outputs generated with the customer's own key; the customer is solely responsible for reviewing outputs and for their use, which must comply with law and with these Terms. The customer acknowledges that AI outputs may be inaccurate, may resemble outputs generated for others, and may not be protectable under copyright law. Edited previews of library images are provided for evaluation: the underlying library image remains subject to this Section and to the customer's plan, and the tools may not be used to circumvent licensing, watermarks, or identification marks. Genera Stock may suspend the tools for abuse and does not warrant their availability or results. Generated outputs are delivered in the session and are not stored by Genera Stock by default.

AI output library contribution. When a customer downloads an image generated with the AI generation tools, the customer grants Genera Stock a non-exclusive, worldwide, perpetual, irrevocable, royalty-free, fully sublicensable and transferable license to store, reproduce, adapt, annotate with metadata, publish, display, distribute, and license that image, in whole or in part, as content of the Genera Stock library, presented under Genera Stock's own collection profile. No royalties, fees, attribution, or other compensation are owed to the customer or to any third party in connection with that use, and the customer waives, to the maximum extent permitted by law, any right to such compensation. The customer retains whatever rights they may hold in the downloaded copy and may continue to use it under these Terms. The customer represents that they are entitled to grant this license. This license survives account closure, suspension, or termination and applies only to outputs generated with the site's generation tools; it does not apply to AI-edited previews of existing library images. Outputs generated with the site's generation tools may not be uploaded, submitted, or offered for sale or licensing on Genera Stock by any customer or contributor account; the Genera Stock collection profile described above is the only path by which such outputs enter the library.

5. Free welcome downloads

New accounts may receive a promotional welcome bonus of five (5) free downloads, valid for thirty (30) days from account creation. These downloads carry the same usage license described in Section 4. Because welcome downloads are free of charge and generate no revenue for Genera Stock, they generate no royalties for contributors and are excluded from all royalty pools and earnings calculations. The welcome bonus is a promotion, may be modified or discontinued at any time, is limited to one per person, and attempts to obtain multiple bonuses through duplicate accounts constitute abuse and may lead to termination.

6. Subscriptions, billing, and fair use

Plans are billed in advance on the cycle shown at checkout. Basic includes 10 downloads per month. Pro includes unlimited downloads subject to a fair-usage policy of 150 images per day. Mega includes unlimited downloads subject to a fair-usage policy of 200 images per day and carries the extended license. Re-downloading an image you already licensed in the same month does not consume additional quota. You can change plans at any time; the difference is fairly prorated. You can cancel at any time; cancellation takes effect at the end of the paid period, you keep full access until then, no further charges occur afterwards, and licenses for images already downloaded survive cancellation.

7. Contributor terms

Contributors upload AI-generated images for licensing on the marketplace. By uploading, you represent and warrant that: (a) you created the image in Genera AI Studio, the only generation tool accepted for submissions to Genera Stock, chosen for quality control and stronger copyright assurance, and its terms grant you the right to commercialize the output; (b) you hold all rights needed to grant the license below, free of third-party claims; (c) the image and its metadata do not infringe or misappropriate any copyright, trademark, trade dress, publicity, or privacy right; (d) your prompts and workflow did not target the recreation of a specific living artist's style by name, a specific copyrighted character or artwork, a brand, logo, or product design, or the likeness of a real identifiable person, including celebrities and public figures; (e) the image contains no unlawful content of any kind and no content sexualizing minors in any form, which we report and terminate without notice; and (f) titles and keywords honestly describe the image and disclose nothing misleading.

You grant Genera Stock a non-exclusive, worldwide, perpetual, irrevocable and sublicensable license to host, reproduce, display, market, and license your images to customers under Section 4, including creating previews, thumbnails, and watermarked derivatives. Images that are accepted and published on the marketplace are "Accepted Content". This license, with respect to Accepted Content, expressly survives voluntary account closure, suspension, and termination of the contributor account. Compensation for the licensing of Accepted Content is provided exclusively through the Contributor Royalty Program described in Section 8. You retain ownership to the extent the law recognizes rights in AI output, and no exclusivity is required: you may sell the same images elsewhere. We may review, reject, remove, or re-categorize any upload at our sole discretion, with or without stated reason, including after approval.

7.1 Account requirements. Contributors must be at least 18 years old, maintain a single account per person, and keep their legal name, email, country, and payout details accurate and current. Contributors are solely responsible for any taxes on amounts they receive.

7.2 Technical submission standards and submission channel. Submissions to Genera Stock are made exclusively through Genera AI Studio, the desktop application operated by Genera Technologies, Inc., and only with images created inside that application. Images generated with any other tool or service are not accepted, for quality control and copyright assurance across the collection. The contributor signs in to Genera AI Studio with the same credentials as their Genera Stock account; each file then receives a GS file ID automatically and enters moderation. Files must comply with the platform limits in force at submission (currently JPEG or PNG, 4 to 100 megapixels, up to 20 MB per file), be exported at full resolution and high quality, be well composed, and be free of watermarks, frames, borders, visible compression artifacts, and obvious generation defects such as distorted anatomy, duplicated limbs, or garbled text. Accurate IPTC/XMP metadata must be embedded in the file. Uploads through the website or any other channel are not accepted.

7.3 Metadata compliance. Titles, keywords, and categories must honestly describe the image. They must not contain company names, brands, or logos; the names of artists whose work remains in copyright; the names of real identifiable people, including celebrities and public figures; the names of fictional characters; or phrases that reference another creator's work, such as "in the style of", "inspired by", "influenced by", "in the tradition of", or "drawing on". Metadata must not suggest that an image depicts an actual newsworthy event, and keyword stuffing with irrelevant terms is prohibited.

7.4 Prompt compliance. The prohibitions in Section 7.3 apply equally to the prompts and workflows used to generate the content. Prompts must not target the recreation of a named artist's style, a protected character or artwork, a brand, a product design, or the likeness of a real person.

7.5 Originality within the community. Submissions must be the contributor's own work and must not be created using another Genera Stock contributor's portfolio as reference. Copying or closely mirroring another contributor's titles, keywords, prompts, concepts, compositions, or visual identity, on one occasion or as a pattern, may lead to content removal and account termination.

7.6 Distinct content. To keep the catalog useful and searchable, contributors should curate their uploads and avoid flooding the marketplace with nearly identical variations of the same generation. Excessive similarity is a valid reason for refusal and may reduce the visibility of a portfolio.

7.7 Prohibited content. The following are refused on sight and may lead to termination: sexual or suggestive depictions of minors in any form, which we also report to the competent authorities; any nudity, sexually explicit, or pornographic material; hateful content, including violent or derogatory portrayals of a person or group based on race, ethnicity, nationality, religion, migration status, caste, gender, gender identity, sexuality, age, disability, or medical condition, the use of slurs, dehumanizing portrayals, or hate-based conspiracy theories; depictions that promote violence or self-harm; excessive gore, including mutilation or dismemberment of humans or animals; profane or obscene language or gestures in visuals or metadata; reproductions of public-domain artworks presented as original content; and imagery presented as if it documented a real newsworthy event.

7.8 Fraud and integrity. Any behavior intended to manipulate search results, rankings, downloads, or royalties, including coordinated or self-directed downloading, duplicate accounts, or abuse of promotions, is prohibited. We may remove content, withhold or claw back related earnings under Section 8, and suspend or terminate the accounts involved.

7.9. Content retention and voluntary account cancellation

7.9 Survival of the content license. All content is submitted to Genera Stock voluntarily. The license granted to Genera Stock under this Section 7, with respect to Accepted Content, is perpetual and irrevocable and expressly survives any closure, deactivation, suspension, or termination of the contributor account, whether initiated by the contributor or by Genera Stock, and any termination of these Terms as to the contributor. Accepted Content may remain hosted, displayed, marketed, and licensed indefinitely, including after the contributor leaves the platform voluntarily or is removed from it, subject only to the removal exceptions in Section 7.11. Genera Stock has no obligation, at any time, to remove, unpublish, or delete Accepted Content. Licenses already granted to customers, and licenses granted to customers after the account ends, remain and become valid in accordance with Section 4. Compensation, if any, for the licensing of Accepted Content is governed exclusively by the Contributor Royalty Program in Section 8. Eligibility to participate in the Genera Stock Contributor Royalty Program is conditional upon maintaining an active contributor account. Upon the effective voluntary closure or termination of the contributor account, the contributor's eligibility to participate in the Program ends, and any licensing or downloading of previously Accepted Content occurring after that date will not generate royalties or other compensation for the former contributor. The perpetual license granted to Genera Stock remains fully effective notwithstanding the end of royalty eligibility. Royalties validly earned and settled before that date remain payable in accordance with Section 8. Genera Stock may withhold, adjust, cancel, or claw back amounts arising from fraud, manipulation, self-dealing, refunds, chargebacks, violations of these Terms, or calculation errors. During a suspension of the contributor account that does not become a termination, Accepted Content remains licensable and royalties continue to accrue under Section 8, while payouts may be withheld pending review.

7.10 Account closure is separate from content. Closing or deleting a contributor account, at the contributor's request or otherwise, ends the contributor's access to the platform and the contributor relationship, but does not revoke the license in this Section 7 and does not remove accepted images from the marketplace. Requests concerning personal data, including erasure requests under applicable data-protection law such as the GDPR, are handled in accordance with our Privacy Policy and with the exceptions such law provides; erasure of personal data does not extend to the licensed images themselves, which Genera Stock retains and processes to the extent necessary for the performance and administration of licenses already granted, compliance with legal obligations, and the establishment, exercise, or defense of legal claims.

7.11 Mandatory removal exceptions. Notwithstanding Sections 7.9 and 7.10, Genera Stock will remove or disable access to an image where required by law, and may do so where Genera Stock determines in good faith that the image is or may be the subject of a valid copyright complaint under Section 9, a trademark, trade dress, privacy, or publicity claim, a court or governmental order, illegality of any kind, or any other legal obligation. Genera Stock may also remove any image at its sole discretion as stated above in this Section 7.

7.12 Self-service deletion, electronic signature and waiver. A contributor may close the account at any time from the account settings. Before closing, the contributor is shown a deletion notice stating, at minimum, that: (a) accepted images are not deleted and remain hosted, displayed, marketed and licensed on Genera Stock and through its partners, credited to Genera Stock, for an unlimited time; (b) participation in the Contributor Royalty Program and in any incentive or automatic-purchase program ends on the closure date, no royalties arise from licenses granted on or after that date, and any balance not paid out before closure lapses as set out in Section 8, the contributor irrevocably waiving, releasing and discharging Genera Stock, its owners, affiliates, successors and assigns from any claim to royalties, revenue share, credits, payouts or compensation of any kind in respect of it; (c) images generated by artificial intelligence are not eligible for copyright protection under the laws of the United States and most jurisdictions, no person holds copyright in them, Genera Stock's rights over accepted images do not depend on copyright, and the contributor represents not to own and never to assert copyright, authorship, moral, database or other proprietary rights in them; and (d) closure is final. The contributor's confirmation, given by entering the account password and clicking the acceptance button, constitutes an electronic signature with the same legal effect as a handwritten signature under the U.S. ESIGN Act, Regulation (EU) 910/2014 (eIDAS) and Brazilian Provisional Measure 2.200-2/2001. Genera Stock records the version and hash of the notice, the date and time, the IP address, the country and the browser used, and retains that record, together with tax, payout, transaction and license history, as long as required by law and for the establishment, exercise or defense of legal claims. Customers who are not contributors may likewise close their accounts from the account settings; licenses already obtained remain valid and the account cannot be recovered.

7.13 Non-exclusivity of images created in Genera AI Studio. Images created in Genera AI Studio and submitted to Genera Stock are not exclusive to Genera Stock. The contributor keeps all rights not expressly licensed in this Section 7, may use those images commercially, and may submit them to other microstock agencies or distribute them elsewhere, subject to the terms and policies of each platform. Nothing in these Terms restricts where else the contributor may license such images.

If the contributor voluntarily requests the closure of their account, or the account is terminated by Genera Stock, the account ceases to be accessible to the contributor, while Accepted Content remains on the platform as described in Section 7.9. Compensation is governed exclusively by the Contributor Royalty Program in Section 8: eligibility to participate in the Program ends when the account ends, and amounts already earned and settled remain payable as set out there. By creating a contributor account and uploading content, the contributor expressly accepts these conditions.

8. Contributor Royalty Program

Royalties are a benefit of participation in the Contributor Royalty Program (the "Program") and are conditioned on an active contributor account in good standing; they are not a term of the content license in Section 7. Genera Stock allocates thirty percent (30%) of each paying subscriber's plan revenue, computed in whole cents and rounded down, to a monthly royalty pool for that subscriber. Each qualifying download in a calendar month receives an equal share of that subscriber's pool, recalculated as the month progresses, with remainder cents assigned deterministically. A qualifying download is a first download of an image by an active paying subscriber in that month. The following generate no royalties: welcome bonus and any free or promotional downloads; re-downloads of the same image in the same month; downloads by internal, staff, or test accounts; downloads of house-owned content; downloads under refunded, disputed, or fraudulent payments; downloads made in violation of these Terms; and downloads occurring after the contributor's Program eligibility has ended as described below.

During the current month, your dashboard shows a live, real-time estimate that updates with every qualifying download; because the pool divides across all of a subscriber's downloads, per-download values adjust until the month closes. At monthly settlement the live ledger becomes final. Settled earnings accumulate month over month and never expire or reset. When your settled balance reaches fifty US dollars (USD 50.00) you may request a payout via Payoneer, PayPal, Wise, or USDT; requesting a payout transfers your settled balance to processing and resets the settled balance accordingly. The current month's live amount is never included in a payout until settled. We may withhold, adjust, or claw back amounts arising from fraud, self-dealing (including downloading your own content through purchased or coordinated accounts), refunds, chargebacks, or calculation errors. You are responsible for your own taxes on amounts received.

Eligibility to participate in the Contributor Royalty Program ends upon the effective termination or voluntary closure of the contributor account. Content licensed after that date does not generate royalties or other compensation for the former contributor: such royalties simply never come into existence. Amounts already earned and settled before that date remain payable in accordance with this Section, including the payout threshold and methods above, except amounts withheld, adjusted, cancelled, offset, or clawed back due to fraud, manipulation, abuse, self-dealing, refunds, chargebacks, calculation errors, or other violations of these Terms, under this Section and Section 7.8.

Professional capacity and payout maturity. Contributors take part in the Program in a professional or commercial capacity, as licensors of content, and not as consumers. Royalties accrue as a credit and become payable only when the settled balance reaches the payout threshold (USD 50.00) while the contributor account is active and in good standing; until then they are an unmatured credit, not a debt of Genera Stock.

Balance at voluntary closure. If the contributor closes the account, any settled or unsettled balance below the payout threshold on the closure date lapses and is not paid. The closure notice shows the exact balance beforehand, and the contributor confirms the lapse expressly. A contributor who prefers to be paid may keep the account open until the threshold is reached, or, where the balance is at or above the threshold, request a payout before closing; a balance at or above the threshold that has not been requested before closure also lapses, since payouts cannot be requested after the account ends. Payouts already requested before the closure date are processed normally, unless withheld under this Section.

Termination for cause. If Genera Stock terminates the account for a violation of these Terms, all royalties, settled or unsettled, above or below the threshold, including payouts requested but not yet sent, are forfeited to the fullest extent permitted by applicable law. Genera Stock records the reason for the termination and communicates it to the contributor.

9. Intellectual property complaints

Although all content is AI-generated, we take resemblance complaints seriously. If you believe an image infringes your rights, email support@generastock.com with the image URL, your identification, the right allegedly infringed, and a good-faith statement. We will review promptly and may remove content at our discretion. We may terminate contributors who repeatedly attract substantiated complaints.

10. Prohibited conduct

You may not scrape, bulk-download, or harvest the catalog; probe or disrupt the service; misrepresent your identity; use the service to train or evaluate machine-learning models on our content; create accounts by automated means; or abuse promotions, pricing, or the royalty system.

11. Termination

You may stop using the service at any time. We may suspend or terminate access for breach of these Terms. Sections that by nature survive termination survive, including licenses already granted to customers, warranties, indemnities, limitations of liability, and payment obligations lawfully accrued.

12. Disclaimers

The service and all content are provided "as is" and "as available", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and accuracy. AI generation is probabilistic; we do not warrant that any image is free of unintended resemblance to existing works, persons, or marks, and you are responsible for clearance appropriate to your end use, especially in sensitive contexts.

13. Limitation of liability

To the maximum extent permitted by law, Genera Stock and Genera Technologies, Inc. shall not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill. Our aggregate liability for all claims relating to the service shall not exceed the greater of one hundred US dollars (USD 100) or the amounts you paid us in the twelve (12) months preceding the claim.

14. Indemnification

You will defend, indemnify, and hold harmless Genera Stock and Genera Technologies, Inc. from claims arising out of your content, your use of the service, or your breach of these Terms, including reasonable legal fees.

15. Changes to these Terms

We may update these Terms from time to time. Material changes will be signaled on the site or by email. Continued use after the effective date constitutes acceptance. The "Last updated" date above reflects the current version.

16. Governing law

These Terms are governed by the laws of the jurisdiction in which Genera Technologies, Inc. is established, without regard to conflict-of-law rules, and disputes shall be resolved in the competent courts of that jurisdiction, unless mandatory consumer law grants you a different venue.
